IEPNest Terms of Service

These Terms of Service ("Terms") govern your access to and use of IEPNest's website, mobile applications, admin tools, and related services (collectively, the "Services").
By creating an account, clicking "I Agree," or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. Eligibility
You must be at least 18 years old to create an account, or you must be the parent or legal guardian using the Services on behalf of a child.
You represent that:
- You have the legal authority to enter into these Terms.
- You will provide accurate information.
- You will only upload information you are authorized to share.
2. The Services
IEPNest provides tools for:
- Storing and organizing special education documents.
- Managing notes, meetings, contacts, services, spending, and reminders.
- Generating summaries, explanations, and drafts.
- Helping parents and legal guardians stay organized.
The Services are operated by RipeGuava or one of its subsidiaries or affiliates. We may add, remove, or change features at any time.
3. No Professional Advice
IEPNest does not provide legal, medical, psychological, or educational advice. Any AI output, summaries, templates, reminders, or suggestions are for informational purposes only.
You are responsible for reviewing all content before relying on it or sharing it with others.
4. Account Registration and Security
You are responsible for:
- Maintaining the confidentiality of your login credentials.
- Restricting access to your device and account.
- All activity under your account.
You must notify us immediately of any unauthorized use or suspected security incident involving your account.
5. User Content
You retain ownership of the content you upload or submit, including documents, notes, and messages. You grant IEPNest, the Parent Company, and our subsidiaries and affiliates a limited, non-exclusive, worldwide license to host, store, process, reproduce, and display your content only to operate and improve the Services, provide requested features, and comply with law.
You are responsible for ensuring that your content:
- Is accurate to the best of your knowledge.
- Does not violate any law or third-party rights.
- Is appropriate for storage and sharing within the Services.
Meeting recordings. If you use IEPNest to record a meeting, you are solely responsible for complying with all applicable recording and consent laws, which vary by state and jurisdiction. Where required by law, you must obtain the consent of all participants before recording. You are responsible for how you create, store, use, and share any recording or transcript, and IEPNest is not responsible for your failure to obtain any required consent.
6. Prohibited Uses
You agree not to:
- Use the Services unlawfully.
- Upload malware, spyware, or harmful code.
- Attempt to access another user's account or data.
- Interfere with security, performance, or availability.
- Use the Services to harass, defraud, or harm others.
- Reverse engineer the Services except where prohibited by law.
- Use the Services in a way that violates privacy, intellectual property, or confidentiality obligations.
- Use automated tools to scrape, overload, or abuse the Services.
7. AI and Generated Content
AI-generated content may be inaccurate or incomplete. You are responsible for reviewing and verifying all AI output before relying on it.
We may limit usage of AI features to control cost, abuse, spam, or system performance.
8. Fees and Payments
Some Services may require payment. If you purchase a paid plan:
- You agree to pay all fees shown at the time of purchase.
- Taxes may apply.
- Fees are non-refundable unless required by law or expressly stated otherwise.
- We may change pricing in the future with notice.
Purchases and subscriptions are made through our website. We do not process payments within our mobile applications. Payments are processed by third-party providers, including Stripe.
9. Subscription Terms
If your plan is recurring:
- It will renew automatically unless canceled.
- You may cancel according to the instructions in the Services or by contacting support.
- Cancellation takes effect at the end of the current billing period unless otherwise stated.
10. Suspension and Termination
We may suspend or terminate your access if we believe:
- You violated these Terms.
- Your use creates risk, legal exposure, or system harm.
- Required payments fail.
- We must do so for legal or security reasons.
You may stop using the Services at any time and may request account deletion where available.
11. Intellectual Property
The Services, including software, design, branding, text, and logos, are owned by IEPNest, the Parent Company, or its licensors and are protected by intellectual property laws.
You may not copy, reproduce, modify, distribute, or create derivative works from our Services except as allowed by law or with our written permission.
12. Feedback
If you submit ideas, suggestions, bug reports, or feedback, you grant us the right to use that feedback without restriction or compensation.
13. Third-Party Services
The Services may link to third-party services or integrate with them. We are not responsible for their content, policies, or actions.
14. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IEPNEST, THE PARENT COMPANY, AND THEIR OFFICERS, DIRECTORS, EMPLOYEES, AND CONTRACTORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, GOODWILL, OR USE.
OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICES DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS (USD $100), WHICHEVER IS GREATER, TO THE EXTENT PERMITTED BY LAW.
16. Indemnification
You agree to indemnify and hold harmless IEPNest, the Parent Company, and our subsidiaries and affiliates from claims, damages, liabilities, losses, and expenses arising from your use of the Services, your content, your violation of these Terms, or your violation of any law or third-party rights.
17. Governing Law
These Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-law rules, unless otherwise required by law.
18. Changes to the Terms
We may update these Terms from time to time. If we make material changes, we will post the updated Terms and update the effective date. Your continued use of the Services after the update means you accept the revised Terms.
